Spanvero — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "your", "User") and Cynosure LLC, a Florida limited liability company ("Spanvero", "we", "us", "our"), the operator of the Spanvero application and website (collectively, the "Service"). By creating an account, clicking "I agree", or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1. What Spanvero is (and is not)
Spanvero is an honest, AI cost-advisor. It is a piece of software and an interface — not an AI compute provider, not a reseller of compute, and not an AI model vendor. Specifically, Spanvero:
Shows you the genuinely cheapest honest way to run any given AI model, comparing the three real paths — (1) run it locally on your own hardware at $0, (2) rent your own GPU at a vendor's published price on your vendor account, and (3) use your own API key at your provider's per-token price — with zero Spanvero markup;
Routes you to your own accounts and keys. It connects you to third-party AI providers and GPU vendors (e.g. OpenAI, Anthropic, OpenRouter, RunPod, and similar) under your own account with those third parties;
Provides Specialists, a free library of 233 copy-ready AI specialist role prompts (see Section 12); and
Offers an optional Pro subscription (Section 7) for continuity features — synced presets and history across your devices.
We take $0 compute markup. When you run locally, rent a GPU, or call an API, you pay the vendor or provider directly, at their price (or nothing, when you run locally). We never sit in the middle of that money or that compute. Cost figures shown in the advisor are estimates, labeled and dated — they are informational only and are not an offer, quote, or guarantee of any third party's price (see Section 6).
We may earn a disclosed referral commission when you sign up for certain third-party vendors through our links (Section 11). This never changes the price you pay the vendor.
2. Eligibility and accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. The Service is not directed to children, and we do not knowingly collect data from anyone under 13.
Accounts are created with an email and password via our authentication system (Better-Auth); Google sign-in is planned. You are responsible for the accuracy of your registration information and for keeping your password and any session/bearer tokens confidential.
You are responsible for all activity under your account. Notify us at [email protected] immediately if you suspect unauthorized use.
One human per account. Don't share accounts, sell accounts, or create accounts by automated means.
3. Bring-your-own keys, your providers, and your costs
This is the most important section, so read it carefully.
3.1 You bring and control your own keys
When you use a third-party AI provider or GPU vendor through Spanvero, you do so with your own API key and your own account at that third party. By default your API keys are stored locally in your browser/device (in browser storage on the device you use), and we do not store them on our servers. There are two optional, opt-in exceptions, and in both the key is stored encrypted on our server only because you explicitly turned the feature on: (a) the Pro key-vault sync feature (an encrypted copy of a provider key, so it syncs across your devices); and (b) GPU auto-launch — if you connect a GPU-vendor account (e.g. RunPod) so Spanvero can start and stop GPUs for you, that vendor key is stored encrypted and used only on our server to operate GPUs on your behalf; it never reaches your browser. See Section 7 and the Privacy Policy.
3.2 You are responsible for your provider costs
You — not Spanvero — are solely responsible for all charges, fees, usage, rate limits, overages, and taxes billed to you by any third-party AI provider or GPU vendor you connect. Spanvero does not meter, cap, pre-pay, refund, or reimburse those charges. The advisor's estimates may differ from your actual third-party bill for many reasons (model version, token counts, context length, vendor price changes, cold-start time, idle GPU time, currency, taxes). Set your own budgets and limits in your provider/vendor account. If you leave a rented GPU running, you pay for it.
3.3 You are responsible for your provider's terms
Each third-party provider and vendor has its own terms of service, acceptable-use policy, and privacy policy. You are responsible for reading, accepting, and complying with them. Spanvero is not a party to your relationship with any provider/vendor and is not responsible for their service, availability, output, pricing, billing, data handling, or any suspension or termination of your account with them.
3.4 No resale of compute
Spanvero does not buy, resell, mark up, or resell access to AI compute or models. We provide the advisor and the interface; the compute and the model are the third party's (or your own hardware's).
4. Acceptable use
You agree not to use the Service (or any model, key, or vendor you connect through it) to:
Break the law, or facilitate anything illegal, including fraud, money laundering, or sanctions evasion.
Violate the acceptable-use policy or terms of any third-party AI provider or GPU vendor you connect (their rules apply to what you do through them).
Generate or distribute child sexual abuse material (CSAM), non-consensual intimate imagery, or content that sexually exploits or endangers minors. This is an absolute, zero-tolerance prohibition.
Create content intended to harass, threaten, defame, or incite violence against a person or group, or to facilitate stalking, doxxing, or targeted abuse.
Generate malware, exploits, phishing, spam, or tools whose primary purpose is unauthorized access to systems or data.
Produce content that infringes others' intellectual property, privacy, or publicity rights, or misappropriates trade secrets.
Build automated systems offering dangerous instructions for weapons (including biological, chemical, radiological, nuclear, or high-yield explosives), or to provide individualized professional advice (medical, legal, financial) presented as a substitute for a licensed professional without appropriate safeguards.
Attempt to reverse engineer, decompile, scrape, overload, probe, or circumvent the Service's security, rate limits, or access controls (except as non-waivable law allows), or to access another user's account or data.
Misrepresent AI-generated content as human-authored where doing so is deceptive or unlawful, or impersonate any person or entity.
Resell, sublicense, or provide the Service to third parties as your own product, except as expressly permitted (Specialists content has its own license — see Section 12).
We reserve the right to investigate suspected violations and to suspend or terminate access (Section 14). Because local and BYO-key use happens on your device and your provider's systems, enforcement of these rules ultimately depends on you and on your providers — but a violation is still a breach of these Terms.
5. The software, local use, and your responsibility for outputs
AI output is probabilistic and may be wrong. Models can produce inaccurate, biased, offensive, or harmful content, and may "hallucinate" facts. You are responsible for reviewing, verifying, and deciding how to use any output. Do not rely on outputs for medical, legal, financial, safety-critical, or other consequential decisions without independent professional verification.
Local use means local responsibility. When you run a model locally, it executes on your hardware using your resources. We are not responsible for your hardware, drivers, model files, performance, or any damage to your system.
Model files and weights you download or run are governed by their own licenses from their respective publishers (e.g. Hugging Face model cards). You are responsible for complying with them.
6. The cost advisor — estimates, not guarantees
The advisor exists to show honest, $0-markup comparisons. But:
Every figure is an estimate, labeled and dated. Prices for APIs and GPUs change frequently and are set by the third parties, not by us.
Estimates are informational only. They are not a quote, offer, price guarantee, or financial advice, and not binding on us or on any third party.
Your actual cost is whatever your provider/vendor charges you. We are not liable for differences between an estimate and your real bill (see Sections 3.2 and 9).
7. Pro subscription, billing, and payments
7.1 The plans
Free — the cost advisor, routing to your own keys/local/GPU, and the 233 Specialists are free and fully usable, forever, with no card required. Free does not include unlimited or free third-party compute — third-party usage is always billed to you by the third party (Section 3.2).
Pro — $7.99/month (or $79.90/year) (or the price shown at checkout) — adds continuity: synced presets and history across your devices. Pro never adds compute markup and never paywalls the Specialists. Exact features and price are those displayed at checkout, which control over any figure here.
7.2 Who sells you Pro, and who processes the payment
Cynosure LLC (operating as Spanvero) sells the Pro subscription to you directly — we are the seller and merchant of record. Your contract of sale is with us. This matters legally:
We use a third-party payment processor (currently Stripe) to process your card. The processor is not the seller or merchant of record — it handles the card transaction on our behalf. Payment is hosted by the processor, so we never see or store your full card number; the descriptor on your statement is ours (Cynosure LLC / Spanvero).
Cynosure LLC — not the processor — is responsible for the sale, including calculating, collecting, and remitting any applicable sales tax where we are required to. (We do not shift tax responsibility onto a merchant of record.)
Your card payment is also processed under the payment processor's own terms and privacy policy; those govern how the processor handles your card data, but the sale itself is between you and us.
7.3 Subscription, renewal, and cancellation
Pro is a recurring subscription that auto-renews each billing period at the then-current price until cancelled. By subscribing, you authorize us (through our payment processor) to charge your payment method on each renewal.
You can cancel anytime from your account settings or via the billing/customer portal we provide. Cancellation stops future renewals; it takes effect at the end of the current paid period, and you keep Pro access until then.
We may change Pro's price or features with reasonable advance notice; changes apply to the next billing period after notice. If you don't agree, cancel before renewal.
7.4 Refunds
Because we are the seller, refunds for Pro are handled by us (processed back through our payment processor to your card). To request a refund, use the billing portal, the link on your receipt, or contact us at [email protected].
As a baseline, we offer a 14-day money-back refund on Pro on request. Outside that window, subscriptions are generally non-refundable except where required by law or at our discretion.
Chargebacks: please contact us for a refund first — it's faster than a dispute. Initiating a chargeback instead of requesting a refund may result in suspension of your account.
Provider/vendor costs are never refundable by us — they were never paid to us (Section 3.2).
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, error-free, or that any output, estimate, model, or third-party integration will be accurate, available, lawful, or fit for your purpose. The Service is operated by Cynosure LLC, a small independent business, and may have downtime, bugs, or limited support. You use the Service, AI outputs, third-party providers, and the cost advisor at your own risk.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost data, lost revenue, business interruption, or loss of goodwill, arising out of or relating to the Service, even if advised of the possibility.
We are not liable for any third-party charges, costs, fees, or losses billed to you by any AI provider or GPU vendor, including overages, runaway GPU costs, rate-limit charges, or differences between an advisor estimate and your actual bill (Sections 3.2 and 6).
We are not liable for AI outputs, for actions you take based on them, or for content you generate using the Service.
Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you actually paid us for Pro (not amounts paid to any third-party AI provider or GPU vendor) in the 3 months before the claim, or (b) USD $50. For free users, this amount is USD $0 to the extent permitted by law (you paid us nothing).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law (e.g. for fraud or willful misconduct).
10. Indemnification
You agree to indemnify and hold harmless Spanvero and Cynosure LLC from any claims, damages, liabilities, and reasonable legal fees arising from: (a) your use or misuse of the Service; (b) your content, prompts, or AI outputs; (c) your violation of these Terms or of any third-party provider's or vendor's terms; or (d) your violation of any law or any third party's rights.
11. Affiliate / referral disclosure
Spanvero may participate in vendor referral/affiliate programs (for example, with GPU vendors such as RunPod or Vast.ai). Where we do, some links to third-party vendors will be affiliate links, and if you sign up through them we may earn a small commission at no extra cost to you — you always pay the vendor's normal price. When a link is an affiliate link we disclose it in-app; until a program is enrolled, vendor links simply point to your own account at that vendor. We treat any referral income as a cost-offset, not a way to mark up your compute, and these relationships never influence the advisor's figures, which always show the real, $0-markup price.
12. Specialists content and third-party licenses (MIT attribution)
The Specialists library (233 specialist role prompts) is derived from the open-source agency-agents ("The Agency") collection, used under the MIT License.
As the MIT License requires, the original copyright and permission notice is reproduced in full in our THIRD-PARTY-NOTICES.md and credited in-app. The Specialists feature is presentation/branding (the UI, categorization, and "use as system prompt" integration) layered on that MIT content; the underlying role specifications remain the work of the AgentLand Contributors. You may use the Specialists content subject to the MIT License. The MIT software is provided "as is," without warranty of any kind.
Other third-party components (models, libraries, vendors) are governed by their own licenses and terms.
13. Intellectual property
Except for the Specialists' MIT-licensed content (Section 12) and other third-party materials, the Service — including its software, design, branding, and the "Spanvero" name — is owned by Cynosure LLC and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service per these Terms. You retain ownership of your own prompts and content; you grant us only the limited license needed to operate features you use (e.g. storing your synced presets/history if you enable Pro).
14. Suspension and termination
You may stop using the Service and delete your account at any time (Section 10 of the Privacy Policy describes deletion).
We may suspend or terminate your access if you breach these Terms, create legal or security risk, or if required by law — with notice where practical, immediately where necessary.
On termination: your license ends; Pro renewals stop; and we will handle your data per the Privacy Policy. Sections that by their nature should survive (3.2, 8, 9, 10, 13, 15, 16) survive termination.
15. Governing law and disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. You agree that the state and federal courts located in the State of Florida have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. If any provision is unenforceable, the rest remains in effect.
16. Changes to these Terms
We may update these Terms. If we make material changes, we will update the "Last updated" date and, where reasonable, notify you in-app or by email. Continued use after changes take effect means you accept the revised Terms. If you don't agree, stop using the Service and cancel any subscription.
